Welcome to ChipNight (“ChipNight,” “we,” “us,” or “our”). These Terms and Conditions (“Terms”) govern your access to and use of the ChipNight website, mobile applications, and related services (collectively, the “Platform”).

By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

1. Eligibility

You must be at least twenty-one (21) years old to access or use the Platform. By using the Platform, you represent and warrant that:

• You are at least 21 years old.
• You have the legal capacity to enter into a binding agreement.
• Your use of the Platform complies with all applicable laws and regulations.

2. Description of Services

ChipNight provides tools and resources including, but not limited to:

• Poker training content
• AI-powered coaching and analysis
• Bankroll tracking
• Poker quizzes
• Statistics and performance tracking
• Leaderboards
• Community forums
• Event and game discovery features
• Tournament and meetup coordination tools

ChipNight is a technology platform only and does not operate casinos, poker rooms, sportsbooks, gaming facilities, or gambling services.

3. No Gambling Services

ChipNight does not:

• Accept wagers
• Hold player funds
• Process gambling transactions
• Facilitate betting
• Operate poker games

Any poker game, tournament, meetup, or event discovered through the Platform is independently organized and operated by third parties. Users are solely responsible for determining whether participation in any activity is legal within their jurisdiction.

4. Private Games and Third-Party Events

ChipNight may allow users to discover, create, or participate in poker-related events. ChipNight does not:

• Verify the legality of any game or event
• Supervise participants
• Guarantee player safety
• Guarantee fairness of gameplay
• Guarantee venue conditions

Participation in any event is entirely at your own risk.

5. User Accounts

Users may be required to create an account. You agree to:

• Provide accurate information
• Maintain account security
• Keep login credentials confidential
• Notify ChipNight of unauthorized access

You are responsible for all activity occurring under your account.

6. AI Coaching Disclaimer

The Platform may provide AI-generated coaching, recommendations, analysis, educational content, or strategy suggestions. AI-generated information:

• May be incomplete or inaccurate
• Should not be considered professional advice
• Should not be relied upon as guaranteed poker strategy
• Does not guarantee winnings, profitability, or performance

You assume all risk associated with relying on AI-generated content.

7. No Guarantee of Results

Poker is a game involving skill, variance, and uncertainty. ChipNight makes no representations or guarantees regarding:

• Tournament results
• Cash game performance
• Win rates
• Profitability
• Skill improvement
• Earnings

Past performance does not guarantee future results.

8. Community Standards

Users may not:

• Harass or threaten others
• Post illegal content
• Impersonate another person
• Engage in fraud or scams
• Promote illegal gambling activity
• Upload malicious software
• Violate applicable laws

ChipNight may suspend or terminate accounts at its sole discretion.

9. Intellectual Property

All Platform content, branding, logos, software, graphics, and materials are owned by ChipNight LLC or its licensors. Users may not reproduce, distribute, modify, or exploit Platform content without written permission.

10. Mobile Applications

These Terms apply to any ChipNight mobile application. Users remain responsible for complying with all applicable app store terms and policies.

11. Future Paid Services

ChipNight reserves the right to introduce premium features, subscriptions, memberships, tournament fees, or other paid services in the future. Additional terms may apply to such services.

12. Limitation of Liability

To the maximum extent permitted by law, ChipNight LLC shall not be liable for:

• Indirect damages
• Incidental damages
• Consequential damages
• Lost profits
• Lost opportunities
• Personal injuries
• Disputes between users
• Third-party actions
• Poker-related losses

Your use of the Platform is entirely at your own risk.

13. Indemnification

You agree to defend, indemnify, and hold harmless ChipNight LLC, its owners, officers, employees, and affiliates from any claims, damages, liabilities, losses, costs, and expenses arising from:

• Your use of the Platform
• Your participation in events
• Your violation of these Terms
• Your violation of applicable law

14. Arbitration and Class Action Waiver

Any dispute arising from these Terms shall be resolved through binding arbitration in the State of Florida. You waive any right to participate in class-action lawsuits or class-wide arbitration.

15. Governing Law

These Terms shall be governed by and construed under the laws of the State of Florida, without regard to conflict-of-law principles.

16. Termination

ChipNight may suspend or terminate access to the Platform at any time, with or without notice.
